THIS AGREEMENT, effective on ______________, 20___ ("Effective Date"), is by and between the International Service for the Acquisition of Agri-biotech Applications, with registered offices at 260 Emerson Hall, c/o Cornell University, Ithaca, New York, 14853, USA, ("ISAAA") and ORGANIZATION, located at ADDRESS, (XXXX and ISAAA, the "Parties").
WHEREAS, ISAAA and XXXX have indicated an interest in working together in a project that will require ISAAA and XXXX to disclose to each other proprietary and confidential subject matter concerning the following ("Project"):

NOW, THEREFORE, the Parties agree to disclose to each other certain information and proprietary and confidential subject matter relating to the Project under the following terms and conditions:
"Confidential Subject Matter" shall mean any and all information, know-how and data, technical or non-technical, and materials, including germplasm and biological materials and products or derivatives thereof, and information relating thereto, disclosed or provided by one Party to the other for the purpose of this Project, whether disclosed or provided in oral, written, graphic, photographic or any other form, except for subject matter and information:
that is or becomes generally known or available to the public without breach of this Agreement;
that is known to the receiving Party at the time of disclosure, as evidenced by written records of the receiving Party;
that is known or independently developed by the receiving Party, as demonstrated by written evidence;
that are disclosed to the receiving Party in good faith by a third party who has an independent right to such subject matter and information;
that is required to be disclosed by law; provided that the receiving Party shall immediately inform the disclosing Party and cooperate with the disclosing Party, at the disclosing Party’s expense, in interposing an objection to such requirement.
The Parties agree to hold in confidence all Confidential Subject Matter; to not disclose any Confidential Subject Matter to any third party; to use Confidential Subject Matter solely for the Project; and to disclose such Confidential Subject Matter only to individuals within receiving Party’s organization that are directly involved with the Project on a need-to-know basis.
Unless otherwise specified in writing, all Confidential Subject Matter remains the disclosing Party's property. Upon request of the disclosing Party, the receiving Party agrees to return or destroy all Confidential Subject Matter received from the disclosing Party, except for one copy, which the receiving Party may keep solely to monitor its obligations under this Agreement.
The term of this Agreement is for one (1) year from the Effective Date ("Termination).
All Confidential Subject Matter shall be held confidential by the receiving Party for five (5) years from Termination.
Nothing contained in this Agreement shall be construed as an obligation to enter into any further agreement concerning the Project or Confidential Subject Matter, or as a grant of a license to the Confidential Subject Matter, other than for use in the Project.
This Agreement may be assigned with the written consent of both Parties.
IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed by their respective authorized representatives.
